These Terms of Use constitute a legally binding agreement between you and WixLab.
Please read them carefully before accessing our website, submitting an inquiry, scheduling a consultation, purchasing services, approving a proposal, making a payment, or otherwise working with us.
These Terms contain important provisions concerning payments, non-refundable deposits, project inactivity, intellectual property, disclaimers, limitations of liability, dispute resolution, arbitration, and the waiver of class actions and jury trials.
1. General

These Terms govern your access to and use of:

In these Terms, “you,” “your,” “user,” and “client” refer to any person or entity that visits our website, submits information, requests a proposal, schedules a consultation, purchases services, enters into a project with us, or otherwise uses the Services.
2. Acceptance of These Terms
By accessing or using the Services, submitting an inquiry, scheduling or attending a paid consultation, approving a proposal or estimate, signing an agreement, making a payment, or authorizing WixLab to begin work, you acknowledge that you have read, understood, and agreed to these Terms.
If you use the Services on behalf of a company, organization, or other entity, you represent that:

The entity accepts responsibility for your actions and the actions of its representatives.

If there is a direct conflict between these Terms and a signed project-specific agreement, the signed project-specific agreement will control only regarding that specific conflict.
An email approval, electronic signature, online acceptance, deposit payment, invoice payment, or written instruction to proceed may constitute acceptance of a proposal, estimate, statement of work, or project agreement.
4. Eligibility
You may use the Services only if:

You are at least 18 years old.

You are legally capable of entering into a binding agreement.

Your use of the Services is permitted by applicable law.

You have authority to provide all information and materials submitted to us.

You are not prohibited from receiving the Services under applicable sanctions, trade, or export-control laws.
WixLab may decline to provide Services to any person or organization at its discretion, subject to applicable law.

The exact scope, deliverables, fees, and schedule for a project will be stated in the applicable proposal, invoice, statement of work, or agreement.
WixLab may use employees, contractors, freelancers, developers, designers, consultants, technology providers, artificial intelligence systems, and other qualified providers to perform portions of the Services.
6. Wix.com Independence
WixLab is an independent business and is not owned, controlled, or operated by Wix.com Ltd.
WixLab may participate in professional programs or use products provided by Wix.com, but WixLab is not authorized to make commitments on behalf of Wix.com.
The client understands that Wix.com is a third-party platform provider.
WixLab does not control and is not responsible for:

Domain fees

Transaction fees

Platform outages

Software changes

Feature removal

“Wix,” “Wix Studio,” “Velo,” and related names, logos, and marks are owned by their respective owners.
7. Estimates, Proposals, and Scope
Unless otherwise stated, proposals and estimates are valid for 30 days from the date issued.
A proposal is based on the information available when it is prepared.
If project requirements, technical conditions, content volume, functionality, timeline, platform, integrations, or client instructions change, WixLab may revise:

8. Deposits and Initial Payments
All deposits and initial project payments made to WixLab are non-refundable.
Deposits reserve production time, allocate personnel and resources, establish the project schedule, and allow WixLab to begin work such as:

Strategy

Administration
-
Account setup

Design
-
Development
-
Content preparation

Technical configuration
-
Vendor coordination
-
Creative production
Deposits are earned upon receipt in consideration of reserving WixLab’s time and beginning the project process.
Deposits will not be refunded if the client:

Cancels the project

Changes direction
-
Decides not to proceed
-
Delays the project
-
Fails to provide required information
-
Fails to provide content or account access
-
Fails to respond
-
Fails to provide feedback or approval
-
Experiences internal business changes
-
Changes employees, management, ownership, or vendors
-
Selects another designer, developer, or agency
-
Otherwise prevents or delays WixLab from performing the Services
This policy applies except where a refund is expressly required by applicable law or agreed to by WixLab in a signed writing.
9. Fees and Payment
Clients agree to pay all fees identified in the applicable proposal, invoice, estimate, statement of work, booking page, or project agreement.
Unless otherwise stated:

Deposits are due before work begins.

Paid consultation fees are due before the consultation.
-
Milestone payments are due when the applicable milestone is reached or invoiced.
-
Final payment is due before final files, website ownership, administrative access, source files, credentials, or deliverables are transferred.
-
Retainer payments are due before the applicable service period.
-
Third-party expenses may require advance payment.
-
Invoices must be paid by the due date shown.
WixLab may pause work, withhold deliverables, restrict access, delay launch, or suspend Services when an invoice is overdue.
Project delays caused by unpaid invoices will extend deadlines and may require rescheduling according to WixLab’s current availability.
The client remains responsible for:

Third-party expenses incurred

Contractual obligations entered into on the client’s behalf
10. Hourly Consulting and Hourly Services
Hourly consulting and hourly project work may be billed in advance, at booking, in increments, or after completion, as stated in the applicable booking or invoice.
Unless otherwise stated:

Booked consulting time is reserved specifically for the client.
-
Missed appointments and late cancellations may be non-refundable.
-
Unused time caused by the client arriving late may not be extended.
-
Work outside the booked consultation may be billed separately.
-
Advice is based on the information available during the consultation.
-
WixLab does not guarantee that a specific issue can be resolved within a particular number of hours.
-
Technical investigations, troubleshooting, and third-party support communications are billable work.
11. Late Payments
Unless prohibited by law, overdue balances may be subject to:

A late fee stated in the invoice or agreement
-
Interest at the lesser of 1.5% per month or the maximum rate permitted by law
-
Collection costs
-
Reasonable attorneys’ fees
-
Court or arbitration expenses
-
Administrative collection costs
-
Suspension or termination of Services
Acceptance of a late or partial payment does not waive WixLab’s right to collect the remaining balance.
WixLab may apply payments to the oldest outstanding balance first.
12. Chargebacks and Payment Disputes
Clients agree to contact WixLab at hello@wixlab.com and make a good-faith effort to resolve any billing concern before initiating a chargeback, payment reversal, or payment dispute.
A client must not knowingly submit a false, fraudulent, misleading, or inaccurate chargeback claim.
Initiating a chargeback does not cancel:

The client’s payment obligations

An accepted proposal
-
A project agreement
-
A statement of work
-
Fees earned for completed work
-
Fees earned for reserved production capacity
When a chargeback is initiated, WixLab may provide relevant evidence to a payment processor, financial institution, card issuer, collection provider, attorney, court, or arbitrator.
Evidence may include:

Work logs

Design records

Website transfer records

Delivery confirmations

Other evidence showing authorization, performance, or delivery
If a payment dispute is resolved in WixLab’s favor, or is determined to have been submitted falsely or without valid grounds, the client remains responsible for the original amount.
To the extent permitted by law, the client may also be responsible for:

Chargeback fees

Payment processor fees

Collection expenses
-
Administrative expenses
-
Reasonable attorneys’ fees

Other costs incurred in responding to the dispute
Nothing in this section limits a non-waivable consumer right or a lawful right to dispute a genuinely unauthorized or incorrect transaction.
13. Client Responsibilities
The client agrees to cooperate reasonably and promptly with WixLab.
The client is responsible for providing:

Accurate project information

Timely decisions
-
Complete content
-
Brand assets
-
Logos
-
Images
-
Videos
-
Product information
-
Prices
-
Policies
-
Legal notices
-
Website text
-
Access credentials
-
Collaborator invitations
-
Account permissions
-
Domain information

Technical information
-
Feedback
-
Approvals
-
Other materials reasonably required to perform the Services
The client is responsible for:

Designating an authorized decision-maker
-
Coordinating feedback among stakeholders
-
Providing consolidated feedback
-
Reviewing all deliverables
-
Maintaining secure copies of credentials and business records
-
Backing up existing websites and data when appropriate
-
Verifying legal, financial, medical, technical, regulatory, and industry-specific statements
-
Obtaining required permissions, licenses, releases, and consents
-
Complying with platform rules and applicable law
-
Maintaining active subscriptions and third-party services
-
Paying Wix, domain, app, hosting, email, advertising, and other third-party fees
Delays in providing information, content, payment, feedback, approvals, access, or decisions may extend the project schedule.
14. Project Inactivity and Archiving
If a client stops responding or fails to provide information, content, feedback, access, payment, or approval necessary to continue the project for more than 30 consecutive calendar days, WixLab may classify the project as inactive and archive it.
WixLab is not required to provide repeated reminders before archiving an inactive project.
Once a project is archived:

Previously agreed schedules, deadlines, and launch dates no longer apply.

The project will be removed from the active production schedule.
-
Reserved personnel and production time may be assigned to other clients.
-
The project will be rescheduled according to WixLab’s current availability.
-
A reactivation fee must be agreed upon and paid before work resumes.
-
All outstanding invoices must be paid before reactivation.
-
The scope, pricing, timeline, deliverables, and technical requirements may be reassessed.
-
New pricing may apply if WixLab’s rates, costs, platforms, personnel, or technical requirements have changed.
-
Additional work required to review, restore, update, migrate, or restart the project may be billed separately.
WixLab is not responsible for consequences arising during the inactive period, including:

Expired domains
-
Expired premium plans
-
Expired applications
-
Hosting interruptions
-
Lost or revoked access
-
Platform updates
-
API changes
-
Software incompatibility
-
Broken integrations
-
Security vulnerabilities
-
Search engine changes
-
Advertising platform changes

Lost third-party data
-
Delayed campaigns
-
Missed launch dates
-
Increased vendor costs

Discontinued products or services
Reactivation is subject to WixLab’s availability and written approval.
15. Scheduling and Deadlines
Project schedules are estimates unless WixLab expressly agrees in writing that a deadline is guaranteed.
Timelines depend on:

Content delivery

Account access

Third-party availability

Platform functionality
A delay caused by the client will extend the schedule by at least the length of the delay and may require rescheduling.
WixLab is not responsible for delays caused by:

Wix.com

Domain registrars

Hosting providers

Application providers

Payment processors

Advertising platforms

Search engines

Social media platforms

API providers

Platform reviews

Internet outages

Force majeure events

Circumstances outside WixLab’s reasonable control
Rush requests are subject to availability and may require an additional fee.
16. Revisions and Approvals
The number of included revisions, if any, will be stated in the applicable proposal or agreement.
A revision means a reasonable modification to work already presented.
A revision does not include:

A new design direction

A new concept
-
A change in strategy
-
A change to approved requirements
-
Replacement of previously approved content
-
Additional pages
-
Additional deliverables
-
New functionality
-
Reconstruction of completed work

Changes requested by newly involved stakeholders

Work required because the client supplied incorrect information
Requests exceeding the included revisions or changing the project scope may be billed separately.
An approval may be provided through:

Text message

Project platform

Video meeting

Electronic signature

Written communication

Publication or launch authorization
Once the client approves a design, page, feature, copy, layout, phase, or deliverable, later changes may be treated as additional work.
The client is responsible for reviewing:

Grammar

Prices

Dates

Contact information
-
Product descriptions
-
Links
-
Legal text
-
Disclosures
-
Policies
-
Factual claims

Website functionality
17. Website Launch and Delivery
A website may be considered delivered when WixLab:

Transfers the website to the client’s Wix account
-
Adds the client as owner or administrator
-
Publishes the website with the client’s authorization
-
Provides an access or transfer link
-
Makes the completed website available in the client’s designated account
-
Delivers the agreed files or assets
Final launch or transfer may be withheld until all outstanding invoices are paid.
The client is responsible for maintaining:

An active Wix account
-
Required premium plans
-
Domain registration
-
Business email
-
Paid applications
-
Payment processing accounts
-
Required third-party subscriptions
The client’s failure to activate or maintain these services does not mean the website was not delivered.
18. Website Ownership and Account Transfers
Unless otherwise agreed, WixLab recommends that final websites, domains, subscriptions, and business accounts be owned by the client.
WixLab may temporarily create, host, hold, or manage a website within a WixLab account during development.
Transfer of ownership or administrative control is conditioned on:

Full payment of all invoices

Completion of required client account setup

Acceptance of applicable platform terms

Payment of required third-party fees

Provision of an appropriate destination account
WixLab is not responsible for delays caused by:

Incorrect client account information

Failure to accept a transfer

19. Cancellation and Termination
A client may request cancellation by sending written notice to hello@wixlab.com.
Cancellation does not entitle the client to a refund of any deposit or payment already earned or applied to:

Reserved capacity

Project administration

Planning
-
Research
-
Third-party expenses
-
Non-cancelable commitments
Upon cancellation, the client is responsible for:

Work completed through the cancellation date

Time reserved for the project

Outstanding invoices

Non-cancelable commitments

Any cancellation fee stated in the applicable agreement
WixLab may suspend or terminate a project if the client:

Fails to make payment

Stops responding

Fails to cooperate

Repeatedly changes scope without approving additional fees

Supplies unlawful or infringing materials
-
Engages in abusive, threatening, discriminatory, or harassing conduct
-
Makes false or misleading statements

Attempts to obtain unpaid work

Initiates a fraudulent chargeback
-
Requests unlawful, deceptive, or unethical work
-
Materially breaches these Terms or another agreement
Termination does not affect obligations concerning:

Other provisions intended to survive termination
20. Client Materials
“Client Materials” means content or information supplied or authorized by the client, including:

Logos

Trademarks

Business names

Photographs
-
Videos
-
Audio
-
Music
-
Fonts
-
Text
-
Testimonials
-
Reviews
-
Product information
-
Customer information
-
Data
-
Graphics
-
Documents
-
Software

Code

Account credentials
-
Brand assets
-
Personal likenesses
-
Other intellectual property
The client represents and warrants that:

The client owns the Client Materials or has permission to use them.
-
WixLab’s authorized use will not infringe another party’s rights.
-
The Client Materials are accurate and lawful.
-
Testimonials, endorsements, reviews, claims, and comparisons are authorized and substantiated.
-
Required model releases, property releases, licenses, copyright permissions, and privacy consents have been obtained.
-
Personal information provided to WixLab was collected and disclosed lawfully.
The client grants WixLab a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, adapt, display, transmit, host, and distribute the Client Materials as reasonably necessary to provide the Services.
The client remains responsible for the legality and accuracy of Client Materials.
21. WixLab Intellectual Property
WixLab retains ownership of its pre-existing and independently developed materials, including:

Strategies
-
Frameworks
-
Templates
-
Systems
-
Code libraries
-
Components
-
Workflows
-
Prompts
-
Automation systems
-
Artificial intelligence configurations

Research methods
-
Design systems

Development tools

Business methods

Know-how

Documentation

Internal resources
-
Concepts not selected by the client

Rejected drafts

Unused creative work
These materials are referred to as “WixLab Materials.”
Unless otherwise agreed in writing, ownership of WixLab Materials is not transferred to the client.
When WixLab Materials are incorporated into a final paid deliverable, WixLab grants the client a non-exclusive license to use them only as incorporated into that deliverable and for the intended business purpose.
The client may not extract, sell, sublicense, distribute, reverse engineer, publish, or use WixLab Materials to create a competing service without written permission.
22. Ownership of Final Deliverables
Unless a proposal or agreement states otherwise, ownership or agreed usage rights in final custom deliverables transfer to the client only after WixLab receives full payment of all invoices and project expenses.
Until full payment is received:

Deliverables remain the property of WixLab.

Access may be temporary and revocable.

The client may not publish, reproduce, transfer, sell, modify, or commercially exploit unpaid deliverables.

WixLab may withhold source files, administrative access, ownership transfers, credentials, or final assets.

Wix.com platform technology

Third-party materials
-
Fonts
-
Stock media
-
Licensed software

Premium applications

Open-source software

Subscription-based products

Artificial intelligence models

Third-party tools

Materials governed by another provider’s terms
Drafts, unused concepts, rejected designs, working files, internal documents, and preliminary materials remain WixLab property unless expressly purchased and transferred in writing.
23. Portfolio and Promotional Use
Unless prohibited by a written confidentiality agreement or project-specific restriction accepted by WixLab, the client grants WixLab permission to:

Describe the general nature of the services performed

Use screenshots of publicly available work

Professional announcements
WixLab will not knowingly disclose confidential business information in a portfolio presentation.
A client seeking to prohibit portfolio use must obtain written agreement from WixLab before public release.
24. Third-Party Services and Platforms
Projects may rely on third-party services, including:

Payment processors

Email providers

Third-party performance
WixLab is not liable for interruptions, suspensions, data loss, price increases, security incidents, policy changes, or discontinued features caused by third parties.
Unless otherwise agreed, the client is responsible for all third-party subscription, domain, hosting, licensing, application, email, transaction, advertising, and platform fees.
25. Artificial Intelligence and Automated Tools
WixLab may use artificial intelligence, machine learning, automation, generative systems, and related technology in performing the Services.
These tools may assist with:

The client is responsible for reviewing and approving AI-assisted deliverables before publication or use.
Unless expressly agreed in writing, WixLab does not guarantee that:

AI-generated output will be unique.

AI-generated output will qualify for copyright protection.

AI output will be factually correct.
-
AI systems will continue providing the same features.
-
AI output will comply with every platform rule.
-
AI-assisted work will produce a specific business result.
Clients must not provide highly sensitive, regulated, confidential, or proprietary information for an AI-enabled workflow unless its intended use has been discussed and authorized.
26. Website Accessibility and Legal Compliance
WixLab may implement accessibility, privacy, cookie, security, or compliance-related tools when included in the project scope.
Unless expressly engaged to provide a specific compliance service, WixLab:

Does not provide tax advice

Does not guarantee legal compliance

Does not guarantee complete accessibility compliance

Does not guarantee compliance with every industry-specific requirement
The client is responsible for obtaining qualified legal advice concerning:

Advertising claims

Sweepstakes and promotions

Intellectual property

Data protection

E-commerce requirements

Automated accessibility systems, widgets, certificates, and scanning tools do not guarantee full compliance with:

27. Search, Marketing, and Performance Disclaimer
Website design, marketing, advertising, search optimization, AI visibility, social media, and creative services involve factors outside WixLab’s control.
WixLab does not guarantee:

Website traffic

AI search visibility

Social media reach

28. Maintenance and Post-Launch Services
Website maintenance, updates, troubleshooting, and post-launch support are included only when stated in the applicable proposal or agreement.
Unless otherwise stated:

A completed project does not include ongoing maintenance.

New content and design changes are billed separately.

Third-party platform changes are outside the original scope.

Repairs caused by client modifications may be billed separately.

Repairs caused by third-party applications or platform updates may be billed separately.

WixLab is not responsible for a website after client or third-party modifications.

The client remains responsible for maintaining active subscriptions and accounts.
A maintenance or support plan does not guarantee uninterrupted website availability.

Each party may receive nonpublic information concerning the other party’s:

“Confidential Information” does not include information that:

Is publicly available through no breach of these Terms.

Was lawfully known before disclosure.

Is lawfully received from a third party without confidentiality restrictions.

Is approved for release in writing.
Each party agrees to:

By using the Services, you acknowledge that you have reviewed the Privacy Policy.

To the maximum extent permitted by law, WixLab’s total cumulative liability arising from or relating to the Services, a project, or these Terms will not exceed the amount actually paid to WixLab for the specific Services giving rise to the claim during the six months immediately preceding the event giving rise to liability.
These limitations do not apply to liability that cannot legally be limited or excluded.
38. Indemnification
You agree to defend, indemnify, and hold harmless WixLab and their owners, officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:

39. Informal Dispute Resolution
Before filing a lawsuit or arbitration proceeding, each party agrees to make a good-faith effort to resolve the dispute informally.
A party initiating a dispute must provide written notice describing:

Except for claims eligible for small claims court and claims seeking temporary or injunctive relief to protect intellectual property, confidential information, data, or security, a dispute arising from or relating to these Terms, the Services, or a project will be resolved through binding individual arbitration.
The arbitration will be administered by the American Arbitration Association under the rules applicable to the dispute.
Unless the parties agree otherwise:

Arbitration will take place in Los Angeles County, California.

The arbitration will be conducted in English.

One neutral arbitrator will decide the dispute.

The arbitrator may award a remedy available under applicable law.

Nothing in this section prevents either party from bringing an individual claim in a legally authorized small claims court.
41. Class Action and Jury Trial Waivers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND WIXLAB AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.
NEITHER PARTY MAY PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE PROCEEDING.
UNLESS THE PARTIES AGREE IN WRITING, AN ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MORE THAN ONE PERSON OR ENTITY.
YOU AND WIXLAB EACH WAIVE THE RIGHT TO A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.
42. Governing Law
These Terms and disputes arising from them are governed by the laws of the State of California, without regard to conflict-of-law principles.
For disputes not subject to arbitration, the parties consent to the jurisdiction and venue of the state and federal courts located in Los Angeles County, California.
43. Force Majeure
WixLab is not liable for delay or failure caused by events outside its reasonable control, including:

46. Electronic Communications and Signatures
You agree that electronic communications satisfy legal requirements that communications be in writing.
Electronic signatures, email approvals, online approvals, invoice payments, website transfers, and other electronic records may have the same legal effect as paper records and handwritten signatures.
You are responsible for maintaining accurate contact information.

Material changes affecting an active project will not replace a signed project-specific agreement unless agreed in writing or required by law.
48. No Waiver
A failure or delay in enforcing a right does not waive that right.
A waiver is effective only when made in writing by an authorized representative of the party granting it.
49. Severability
If a provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law.
The remaining provisions will continue in full force.
50. Entire Agreement
These Terms, the Privacy Policy, and any accepted proposal, estimate, statement of work, invoice, or signed project agreement constitute the entire agreement concerning the applicable Services.
They replace prior discussions, statements, understandings, and representations concerning the same subject matter.
Changes to a project agreement must be approved in writing by authorized representatives of the parties.
51. Survival
Provisions concerning payments, chargebacks, intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, dispute resolution, and provisions that by their nature should survive remain effective after completion, cancellation, termination, or expiration.
